Introduction and Acceptance of Terms
Welcome to Ubistock! These Terms of Service (“Terms”) govern your access to and use of the Ubistock website, application, and related services (collectively, the “Service”), which facilitates inventory quantity synchronization between certain third-party e-commerce platforms like Etsy and Shopify. The Service is provided by Kamko BV (“Ubistock,” “we,” “us,” or “our”).
By accessing or using the Service in any way, including browsing the website or registering for an account, you (“User,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy ubistock.com/privacy, which is incorporated by reference. If you do not agree to all of these Terms, do not access or use the Service.
If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in that case, “you” and “your” will refer to that entity.
Description of Service
Ubistock provides a software-as-a-service (SaaS) application designed to help users synchronize inventory quantities between their connected e-commerce platform accounts, such as Etsy and Shopify (the “Service”).
The Service functions by accessing the Application Programming Interfaces (APIs) of these third-party platforms, based on the credentials and configurations you provide. Its purpose is to automatically update inventory levels on one platform when a change (like a sale or order) is detected on another connected platform.
You acknowledge that the effectiveness and timeliness of synchronization depend on various factors, including the availability and performance of third-party APIs, potential network latency, the frequency of sync intervals set by Ubistock or configured by you (if applicable), and the accuracy of your initial setup and ongoing inventory management. Ubistock aims to minimize discrepancies but does not guarantee real-time synchronization or the complete prevention of overselling or underselling situations, especially during periods of high sales velocity or API instability.
User Accounts and Registration
To use Ubistock, you’ll need to create an account. You are responsible for providing accurate registration information and keeping it current. You must also safeguard your account login details and ensure the security of the connections you authorize to third-party platforms like Etsy and Shopify via OAuth. All activity under your account, including activity through connected platforms initiated via the Service, is your responsibility. Please notify us immediately if you suspect any unauthorized use of your account. You confirm that you are authorized to manage any third-party accounts you connect to the Service.
Fees and Payment
Access to certain features of the Service may require payment of subscription fees. You agree to pay all applicable fees for the subscription plan you select, as described on the Ubistock website or within the application at the time of purchase.
- Subscription Plans: Details of available subscription plans, including features and pricing, are available on our website.
- Billing: Fees are typically billed in advance on a recurring basis (e.g., monthly or annually) as specified in your chosen plan. You authorize us (or our third-party payment processor) to charge your selected payment method for these recurring fees.
- Automatic Renewal: Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for the same duration, and you authorize us to charge the applicable fees using the payment method on file.
- Price Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any price changes, giving you an opportunity to cancel your subscription before the change takes effect.
- Payment Information: You must provide current, complete, and accurate payment and billing information. You must promptly update all information to keep your billing account current, complete, and accurate (such as a change in billing address, credit card number, or credit card expiration date).
- Refunds: Unless required by applicable law or otherwise expressly agreed by Ubistock in writing for a specific situation, subscription fees are non-refundable.
- Taxes: You are responsible for all applicable taxes associated with your purchase of the Service, unless we state otherwise.
- Promotional Offers: From time to time, we may offer special promotions, discounts, or free trial periods (like our early access program). These offers are subject to these Terms of Service and any additional terms presented to you at the time of the offer. Promotional terms may have specific eligibility requirements and durations, and unless otherwise stated, pricing for renewals after a promotional period will revert to the standard applicable fee for the chosen plan. User Responsibilities and Acceptable Use
You are solely responsible for:
- Accurate Configuration: Correctly setting up your Ubistock account and accurately configuring the synchronization settings between your connected third-party platform accounts (e.g., Etsy, Shopify). This includes ensuring your initial inventory counts on all platforms are accurate before enabling synchronization through the Service.
- Compliance with Third-Party Terms: Adhering to the terms of service, policies, and guidelines of any third-party platforms you connect to the Service (including Etsy and Shopify).
- Your Business Operations: All aspects of your e-commerce business, including product listings, pricing, order fulfillment, customer service, and compliance with applicable laws and regulations related to your sales. Ubistock is a tool to aid inventory synchronization; it does not manage your business operations.
In using the Service, you agree not to:
- Use the Service for any illegal, fraudulent, or unauthorized purpose.
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
- Attempt to gain unauthorized access to the Service, its related systems, or networks.
- Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Transmit any viruses, worms, or other malicious code.
- Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party’s use and enjoyment of the Service.
- Violate any applicable local, state, national, or international law or regulation.
Violation of these responsibilities or acceptable use terms may result in the suspension or termination of your account, in addition to any other remedies available to us.
Third-Party Platforms and APIs
The Ubistock Service relies on integration with third-party e-commerce platforms (“Third-Party Platforms”), such as Etsy and Shopify, primarily through their respective Application Programming Interfaces (“APIs”).
You acknowledge and agree that:
- Dependency: The functionality, performance, and availability of the Service are inherently dependent on these Third-Party Platforms and their APIs.
- No Control: Ubistock does not own, operate, or control Third-Party Platforms or their APIs. We are not responsible for their operation, availability, security, policies, or any changes they may make, including modifications to their APIs, features, or terms of service.
- Potential Impact: Any changes, downtime, errors, restrictions, or termination of service by a Third-Party Platform or its API may disrupt or prevent the Ubistock Service from functioning correctly, potentially affecting inventory synchronization. Ubistock is not liable for any such disruptions originating from Third-Party Platforms.
- Authorization: By connecting your Third-Party Platform accounts to the Service (e.g., via OAuth), you grant Ubistock permission to access your account information and perform actions (such as reading sales data and updating inventory quantities) as necessary to provide the synchronization features of the Service. You are responsible for ensuring you have the right to grant this permission.
License to Use the Service
Subject to your compliance with these Terms and payment of any applicable fees, Ubistock grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during your subscription term, solely for your internal business purposes related to managing inventory synchronization for your connected e-commerce stores.
You agree not to, and not to permit others to:
- License, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share, or otherwise commercially exploit or make the Service available to any third party, other than as expressly permitted by these Terms.
- Modify, copy, adapt, translate, or create derivative works based on the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Service, except to the extent permitted by applicable law.
- Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Service or its components.
- Use the Service to build a competitive product or service, or for any purpose other than its intended use.
Intellectual Property Rights
The Service, including its underlying software, technology, code, user interface, design, look and feel, documentation, and all related content (excluding your inventory data and data retrieved from your Third-Party Platform accounts), trademarks, service marks, and logos (“Ubistock IP”), are and will remain the exclusive property of Ubistock and its licensors. These Terms do not grant you any rights to the Ubistock IP except for the limited license expressly granted in the “License to Use the Service” section. All rights not expressly granted are reserved by Ubistock.
You retain ownership of your pre-existing data, including your product information, inventory quantities, and sales data (“User Data”) that you provide or that is accessed from your connected Third-Party Platform accounts through the Service. You grant Ubistock a worldwide, non-exclusive, royalty-free license to use, copy, modify, process, and display your User Data solely as necessary to provide and improve the Service for you.
If you provide Ubistock with any suggestions, comments, feedback, or ideas regarding the Service (“Feedback”), you agree that Ubistock is free to use, implement, and exploit such Feedback for any purpose, without any obligation or compensation to you.
Will these Terms ever change?
We’re always improving Ubistock, so our Terms might need to change too. We can update these Terms whenever necessary. If we do, we’ll let you know by posting a notice on ubistock.com, sending an email, or using another method.
If you don’t accept the new Terms, you’ll need to stop using our Services. If you continue using the Services after the changes take effect, it means you agree to the updated Terms.
Only changes made by us as described here are valid. Any other changes require a written agreement signed by both you and Ubistock.
Disclaimer of Warranties
The service is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement.
Ubistock does not warrant that:
- the service will be uninterrupted, timely, secure, or error-free;
- the results obtained from the use of the service, including the synchronization of inventory quantities, will be accurate, complete, or reliable;
- the service will meet your specific requirements or expectations;
- any errors in the service will be corrected; or
- the service or the servers that make it available are free of viruses or other harmful components.
You acknowledge that the nature of inventory synchronization across different platforms via APIs involves inherent complexities and potential for delays or discrepancies. Ubistock specifically disclaims any warranty that the service will prevent all instances of overselling or underselling. Your use of the service is at your sole risk.
Limitation of Liability
To the maximum extent permitted by applicable law, Ubistock, its affiliates, directors, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages. This includes, but is not limited to, damages for loss of profits, revenue, sales, goodwill, use, data, cost of procurement of substitute goods or services, business interruption, or other intangible losses, arising out of or in connection with:
- a) Your access to, use of, or inability to access or use the Service;
- b) Any delays, inaccuracies, failures, errors, omissions, interruptions, deletions, defects, or untimeliness in the synchronization of inventory quantities between Etsy, Shopify, or any other connected platforms;
- c) Any instances of overselling or underselling of your products resulting from synchronization issues, API latency, user configuration errors, rapid concurrent sales on multiple platforms, or failure to maintain accurate initial inventory counts;
- d) Any conduct, errors, omissions, downtime, or changes made by third-party platforms (including Etsy and Shopify) or their respective APIs, upon which the Service relies;
- e) Any content or data obtained from or transmitted through the Service, including any reliance placed upon it;
- f) Unauthorized access, use, or alteration of your account, transmissions, or data; or
- g) Any other matter relating to the Service or these Terms.
In no event shall the aggregate liability of Ubistock and its affiliates, directors, officers, employees, agents, suppliers, or licensors, for all claims relating to the Service or these Terms, exceed the greater of (i) the total amount of fees paid by you to Ubistock for the Service during the six (6) months immediately preceding the date on which the claim arose, or (ii) one hundred U.S. dollars ($100.00).
This limitation of liability section applies whether the alleged liability is based on contract, tort (including negligence), strict liability, statute, or any other legal theory, even if Ubistock has been advised of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. In such jurisdictions, the liability of Ubistock will be limited to the greatest extent permitted by law. You acknowledge and agree that the disclaimers of warranties and the limitations of liability set forth in these Terms reflect a reasonable and fair allocation of risk between you and Ubistock, and that these limitations are an essential basis of the bargain between you and Ubistock.
Indemnification
You agree to defend, indemnify, and hold harmless Ubistock, its affiliates, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from:
- Your use of and access to the Service;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right, or the terms of service of any Third-Party Platform (like Etsy or Shopify); or
- Any claim that your User Data caused damage to a third party.
This defense and indemnification obligation will survive these Terms and your use of the Service.
Support Policy
Service Basis: Ubistock is provided “as is.” We don’t guarantee it will meet all your specific needs or be compatible with every third-party tool.
Eligibility: Support is available only to users with an active subscription plan.
Support Duration: We provide support and updates as long as Ubistock is actively developed and maintained. Our support obligation ends if:
- Ubistock development is discontinued.
- A critical third-party API required for Ubistock’s core functionality is no longer actively developed or becomes unavailable.
Support Limitations: We aim to provide helpful support, but we cannot guarantee a resolution for every issue, nor specific response times or outcomes that fully satisfy every user.
Term and Termination
These Terms commence on the date you first accept them (e.g., by creating an account or using the Service) and continue until your subscription expires or is terminated.
- Termination by You: You can terminate your subscription and stop using the Service at any time by following the cancellation procedures within your account settings or by contacting Ubistock support. Termination will typically be effective at the end of your current paid billing cycle. No refunds will be provided for partial subscription periods unless otherwise stated or required by law.
- Termination or Suspension by Ubistock: We may suspend or terminate your access to and use of the Service, in whole or in part, at our discretion, effective immediately and without prior notice, if:
- You breach any material term of these Terms.
- You fail to pay applicable fees when due.
- Your use of the Service poses a security risk to Ubistock or other users, or could adversely impact our systems or the systems of Third-Party Platforms.
- You engage in fraudulent, illegal, or harmful activities.
- We are required to do so by law or by a Third-Party Platform (like Etsy or Shopify).
- We decide to discontinue the Service generally (in which case we will provide reasonable advance notice if feasible).
- Effect of Termination: Upon termination or expiration of your subscription:
- Your license to use the Service ceases immediately.
- You will no longer have access to your account or data stored within the Service (subject to applicable data protection laws and our data retention policies).
- Any outstanding fees owed to Ubistock become immediately due and payable.
- Survival: Sections of these Terms that by their nature should survive termination will remain in effect, including, without limitation, sections related to Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and dispute resolution provisions.
Governing Law
You agree to first attempt to resolve any issues or disputes with Ubistock by contacting us directly in writing.
Any disputes concerning the validity, interpretation, enforcement, or termination of these Terms shall be governed by Belgian law.
All disputes (whether pre-contractual or contractual) arising from these Terms shall be submitted exclusively to the courts located at the registered office of Kamko BV.
