Welcome to Ubistock! These Terms of Service (“Terms”) govern your access to and use of the Ubistock website, application, and related services (collectively, the “Service”), which facilitates inventory quantity synchronization between certain third-party e-commerce platforms like Etsy and Shopify. The Service is provided by Kamko BV (“Ubistock,” “we,” “us,” or “our”).

By accessing or using the Service in any way, including browsing the website or registering for an account, you (“User,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy ubistock.com/privacy, which is incorporated by reference. If you do not agree to all of these Terms, do not access or use the Service.

If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in that case, “you” and “your” will refer to that entity.


Description of Service

Ubistock provides a software-as-a-service (SaaS) application designed to help users synchronize inventory quantities between their connected e-commerce platform accounts, such as Etsy and Shopify (the “Service”).

The Service functions by accessing the Application Programming Interfaces (APIs) of these third-party platforms, based on the credentials and configurations you provide. Its purpose is to automatically update inventory levels on one platform when a change (like a sale or order) is detected on another connected platform.

You acknowledge that the effectiveness and timeliness of synchronization depend on various factors, including the availability and performance of third-party APIs, potential network latency, the frequency of sync intervals set by Ubistock or configured by you (if applicable), and the accuracy of your initial setup and ongoing inventory management. Ubistock aims to minimize discrepancies but does not guarantee real-time synchronization or the complete prevention of overselling or underselling situations, especially during periods of high sales velocity or API instability.

User Accounts and Registration

To use Ubistock, you’ll need to create an account. You are responsible for providing accurate registration information and keeping it current. You must also safeguard your account login details and ensure the security of the connections you authorize to third-party platforms like Etsy and Shopify via OAuth. All activity under your account, including activity through connected platforms initiated via the Service, is your responsibility. Please notify us immediately if you suspect any unauthorized use of your account. You confirm that you are authorized to manage any third-party accounts you connect to the Service.

Fees and Payment

Access to certain features of the Service may require payment of subscription fees. You agree to pay all applicable fees for the subscription plan you select, as described on the Ubistock website or within the application at the time of purchase.

Subject to your compliance with these Terms and payment of any applicable fees, Ubistock grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during your subscription term, solely for your internal business purposes related to managing inventory synchronization for your connected e-commerce stores.

Intellectual Property Rights

The Service, including its underlying software, technology, code, user interface, design, look and feel, documentation, and all related content (excluding your inventory data and data retrieved from your Third-Party Platform accounts), trademarks, service marks, and logos (“Ubistock IP”), are and will remain the exclusive property of Ubistock and its licensors. These Terms do not grant you any rights to the Ubistock IP except for the limited license expressly granted in the “License to Use the Service” section. All rights not expressly granted are reserved by Ubistock.

You retain ownership of your pre-existing data, including your product information, inventory quantities, and sales data (“User Data”) that you provide or that is accessed from your connected Third-Party Platform accounts through the Service. You grant Ubistock a worldwide, non-exclusive, royalty-free license to use, copy, modify, process, and display your User Data solely as necessary to provide and improve the Service for you.

If you provide Ubistock with any suggestions, comments, feedback, or ideas regarding the Service (“Feedback”), you agree that Ubistock is free to use, implement, and exploit such Feedback for any purpose, without any obligation or compensation to you.

Will these Terms ever change?

We’re always improving Ubistock, so our Terms might need to change too. We can update these Terms whenever necessary. If we do, we’ll let you know by posting a notice on ubistock.com, sending an email, or using another method.

If you don’t accept the new Terms, you’ll need to stop using our Services. If you continue using the Services after the changes take effect, it means you agree to the updated Terms.

Only changes made by us as described here are valid. Any other changes require a written agreement signed by both you and Ubistock.

Disclaimer of Warranties

The service is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement.

Ubistock specifically disclaims any warranty that the service will prevent all instances of overselling or underselling. Your use of the service is at your sole risk.

Limitation of Liability

To the maximum extent permitted by applicable law, Ubistock, its affiliates, directors, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages. This includes, but is not limited to, damages for loss of profits, revenue, sales, goodwill, use, data, cost of procurement of substitute goods or services, business interruption, or other intangible losses, arising out of or in connection with:

In no event shall the aggregate liability of Ubistock and its affiliates, directors, officers, employees, agents, suppliers, or licensors, for all claims relating to the Service or these Terms, exceed the greater of (i) the total amount of fees paid by you to Ubistock for the Service during the six (6) months immediately preceding the date on which the claim arose, or (ii) one hundred U.S. dollars ($100.00).

This limitation of liability section applies whether the alleged liability is based on contract, tort (including negligence), strict liability, statute, or any other legal theory, even if Ubistock has been advised of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. In such jurisdictions, the liability of Ubistock will be limited to the greatest extent permitted by law. You acknowledge and agree that the disclaimers of warranties and the limitations of liability set forth in these Terms reflect a reasonable and fair allocation of risk between you and Ubistock, and that these limitations are an essential basis of the bargain between you and Ubistock.

You agree to defend, indemnify, and hold harmless Ubistock, its affiliates, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from:

Support Policy

Service Basis: Ubistock is provided “as is.” We don’t guarantee it will meet all your specific needs or be compatible with every third-party tool.

Support Duration: We provide support and updates as long as Ubistock is actively developed and maintained. Our support obligation ends if:

Term and Termination

These Terms commence on the date you first accept them (e.g., by creating an account or using the Service) and continue until your subscription expires or is terminated.

You agree to first attempt to resolve any issues or disputes with Ubistock by contacting us directly in writing.

Any disputes concerning the validity, interpretation, enforcement, or termination of these Terms shall be governed by Belgian law.

All disputes (whether pre-contractual or contractual) arising from these Terms shall be submitted exclusively to the courts located at the registered office of Kamko BV.
